Lineage is seeking a Senior Corporate Counsel to oversee legal support for our Western U.S. Operations and join a people-first, collaborative legal team. The ideal candidate would have strong prior experience and proven skills in drafting and negotiating commercial contracts and providing legal advice to business operations. Additionally, the Senior Corporate Counsel may be exposed to numerous new areas of law and will work directly with Lineage business leaders on a variety of projects.

This candidate must demonstrate effective managerial/leadership skills, excellent written and verbal communication skills as well as the ability to translate legal complexities into terms readily understood by management and front-line personnel. Moreover, they must be able to demonstrate strong client management, relationship and project management skills as well as the ability to work successfully both independently and within a team. Finally, they must be comfortable exercising independent judgment while still being open to feedback and coaching. Lineage is a fast-paced company, and a successful candidate must be willing to directly perform hands-on work.

Business Title: Senior Corporate Counsel, West Region

Department: Legal Department

Reports To: Assistant General Counsel

Location: Remote (Western U.S. highly preferred, particularly Phoenix, AZ or Irvine, CA)

Compensation: $160,000 - $190,000 base salary + 20% annual bonus target

Duties & Responsibilities:

  • Draft, review, and negotiate a variety of commercial contracts including customer and vendor contracts, real estate agreements, and other legal documents, files and correspondence, and work with the business line to ensure that projects are completed on a timely basis;
  • Work directly with operations and sales to provide legal advice and guidance in order to solve problems, mitigate risk and drive results;
  • Develop a working understanding of federal, state and local permit and license requirements related to Lineage warehousing and other supply chain services, and work with the legal and business team to ensure compliance;
  • Assist the Assistant General Counsel and General Counsel, North America with documenting, negotiating, managing and closing sophisticated M&A, real estate, and expansion transactions;
  • Work directly with marketing to provide legal advice and review marketing materials generated by the company;
  • Manage outside counsel for certain corporate or real estate transactions;
  • Work collaboratively, proactively and responsively with a broad range of colleagues on a variety of legal and strategic projects, ensuring good relationships between legal, sales, real estate, finance, IT, operations, and other corporate departments of Lineage and its affiliates to facilitate a coordinated team approach; and
  • Provide effective strategic leadership for specific projects, including coordinating and directing third-party advisors and colleagues from other Lineage functional groups.
  • Travel one or two times per quarter. Additional travel possible.

Required Skills & Qualifications:

Education/Licensure:

  • Must have a Juris Doctor degree from a nationally recognized, accredited law school. Must be a member in good standing with a state bar. Must be a U.S. citizen or permanent resident.

Professional Experience:

  • At least five years of experience in transactional law and commercial contracting.
  • Must be able to demonstrate the ability to manage multiple projects.
  • Experience analyzing and interpreting legal issues and contracts.
  • Experience drafting commercial agreements or other transactional documents.
  • Experience navigating complex business organizations across functional groups.
  • Experience interacting and clearly stating legal strategies and goals with company leadership, outside counsel, opposing counsel, and claimants.
  • Experience with U.S. securities law (preferred); construction experience a plus.
