The Associate General Counsel (“AGC”) is an attorney who works alongside and reports to the Deputy GC to help direct and protect all departments in the company regarding legal issues, compliance and rights. Responsibilities include managing contracts, business development activities, closing financing transactions, handling corporate governance and compliance matters, and working on other legal related matters.

This is a REMOTE position that will require some travel within the United States.

Essential Job Functions

Using PosiGen’s vision, mission, purpose and values as the foundation, the AGC will, in consultation with the Deputy GC and Chief Legal Officer, assist the Legal Department as follows:

  • Review, draft and negotiate a wide range of commercial and corporate contracts for various departments (including technology licenses, services, and finance agreements).
  • Assist with financial transactions and financial investments in the company.
  • Lead corporate governance policies and manage the impact of external factors.
  • Advise internal clients on a broad range of legal issues.
  • Be able to identify, advise on and minimize business risks and propose practical solutions.
  • Consult with corporate attorneys and outside regulatory and litigation counsel as necessary to address difficult legal issues.
  • Keeps management informed regarding pending industry changes, trends, and best practices and assess the potential impact of these changes on organizational processes.
  • Other duties as assigned.

  • Excellent organizational, communication, and presentation skills.

Education/Experience

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Licensed in at least one state (active and in good standing).
  • 5+ years of relevant law firm and/or in-house experience.
  • Experience in residential solar, renewables, and/or energy matters preferred.
  • An understanding of several relevant areas of law applicable to the business including, without limitation, corporate, commercial, and transactional law.
  • Extensive experience in corporate law and intellectual property law.
  • Strong working knowledge and proficiency with Google Suite and Microsoft Office Suite.

Base Salary
$140,000$170,000 USD
